Terms of Use

These Terms of Use ("Terms") govern your use of the website at windfallsites.com (the "Site") and the website design, build, and subscription services (the "Services") provided by Windfall LLC, doing business as Windfall Studio ("Windfall," "we," "our," or "us").

By using the Site or subscribing to our Services, you agree to these Terms. If you engage us on behalf of a business, you represent that you have authority to bind that business.

1. Our Services

Windfall Studio designs, builds, hosts, and continuously improves websites and supporting brand assets for professionals and firms. We offer two subscription plans — Authority+ and Category Leader — plus a limited Testimonial Offer described in Section 4. Current pricing is listed on the Site and reflected at checkout.

Depending on your plan, deliverables include:

  • A bespoke Framer-based website, hosted and maintained by us

  • PowerPoint presentation templates

  • Custom PDF templates, such as proposals and other documents

  • Social assets, such as LinkedIn banners

  • Supplemental AI-generated visual assets

  • On Category Leader: member accounts, gated content, a careers section, and quarterly strategy reviews

Where a plan includes unlimited requests, we work on them one at a time and deliver them in the order received, at a reasonable professional pace. Category Leader requests receive priority in the queue.

We use professional AI tools (such as Claude and ChatGPT) in parts of our design, copy, and research process, and some deliverables include AI-generated visual assets. If you prefer we not use AI tools on your project, tell us in writing at info@windfallsites.com.

2. Subscription, Billing, and Payment

When your subscription starts. Your subscription begins at kickoff — once we have received your first payment and your onboarding materials. Your first payment is due before work begins.

Billing. Subscriptions are billed in advance by automatic payment: monthly, or quarterly (every 3 months) at a 15% discount. Your rate will not increase while your subscription remains active.

Month-to-month. There is no long-term contract. You may cancel at any time with 30 days' written notice (see Section 6). A quarterly payment locks in the discounted rate for that quarter; outside the guarantee in Section 3, prepaid fees are not refunded, and your Services continue through the end of the period you have paid for.

Late or missing materials. Timelines depend on receiving your content and feedback promptly. Delays on your side extend the timeline accordingly and do not pause billing or entitle you to a refund.

3. Our 14-Day Guarantee

If you are not happy in the first 14 calendar days after kickoff, cancel and we refund 100% of what you have paid — including a full quarterly prepayment. No questions asked. Email us at info@windfallsites.com within the 14-day window and we will process the refund promptly.

As part of the normal process you will see a live design preview by day 5, well inside the guarantee window. After the 14-day window closes, fees are non-refundable once a billing period has begun.

4. Testimonial Offer

From time to time we offer a limited number of Testimonial Offer engagements. These Terms apply to that offer with the following differences:

Scope. The Testimonial Offer covers a website only — design, build, and hosting. It does not include presentation decks, social assets, lead funnels, or the other inclusions of our paid plans.

Free period and continuation. The website is free for the first 3 months, measured from the day your site goes live. After the free period you may continue for a $200/month hosting subscription, which keeps your site live and maintained but does not include new design work or content changes. You may upgrade to a paid plan at any time. If you choose not to continue, the site is taken offline; your domain and your content remain yours, and we provide a content export on request.

Your part. In exchange for the free build, you agree to provide a testimonial about your experience during the free period, and you grant us permission to use your name, likeness, company name, logo, and results in our portfolio and marketing.

Availability. The Testimonial Offer is limited to a set number of clients. We may modify or withdraw the offer for new signups at any time; engagements already underway are not affected.

What doesn't apply. The buyout option in Section 7 is not available on the Testimonial Offer.

5. Revisions

Every build includes three revision rounds. A revision round means you review the work and send consolidated feedback, which we apply in one focused pass. After launch, ongoing changes and improvements are handled through your subscription's request queue.

6. Cancellation

You may cancel your subscription at any time with 30 days' written notice to info@windfallsites.com. Your Services continue through the end of your notice period and any period you have already paid for.

Because your website is hosted through our platform account, cancellation ends our hosting of your site. Upon cancellation we will, at your choice: (a) provide a content export of your site's copy and imagery to you or your new provider, or (b) simply take the site offline. If you brought your own domain, it remains yours at all times and is never held by us; if we registered a domain for you, Section 7 explains your transfer options.

We may suspend or terminate Services for non-payment or violation of these Terms, with reasonable notice and opportunity to cure.

7. Ownership, Intellectual Property, and Buyout

You retain ownership of the content you provide at all times. While your subscription is active, the website's design, layouts, and custom components remain the property of Windfall LLC, and your subscription grants you use of them on your live site.

Domains. If you already own a domain, it stays in your name and under your control at all times — we simply connect it to your site. If you don't have one, we provide a short list of reasonable options, register your chosen domain, and cover the registration as part of your subscription. If you cancel, you choose: we transfer the domain registration to you, or we cancel it. Let us know your choice during your notice period; if we don't hear from you, the registration is cancelled.

Buyout. On Authority+ and Category Leader, you may purchase your website outright at any time for 15 times your monthly rate, less the monthly payments you have already made. After a completed buyout you own the site's design and content as delivered, and we assist with transferring the project to your own hosting account.

We retain ownership of our pre-existing tools, templates, components, and know-how. The Site itself — including its design, copy, and branding — is owned by Windfall LLC and may not be copied or reused without permission.

8. Client Content and Responsibilities

You are responsible for the content you provide — including text, photos, logos, and business information — and you represent that you own it or have permission to use it. You grant us a license to use that content to design, build, host, and maintain your website, and to display the finished website in our portfolio and marketing unless you request otherwise in writing (Testimonial Offer clients: see Section 4 instead).

You are responsible for the accuracy of claims on your site and for your site's compliance with laws applicable to your industry.

9. Third-Party Services

Websites we build may incorporate third-party services — such as payment processors, scheduling tools, and membership or gated-content platforms. Your use of those services is governed by their own terms, and we are not responsible for their availability or practices. Where a plan lists a third-party capability as included (for example, member accounts on Category Leader), we provision and manage it as part of your subscription; it ends when your subscription ends.

10. Acceptable Use of the Site

You agree not to misuse the Site — including attempting to disrupt it, scrape it, or use it for unlawful purposes.

11. Disclaimers

We build websites designed to perform well in search results and convert visitors, but we do not guarantee specific search rankings, traffic levels, lead volume, or business results. The Site and Services are provided "as is" to the fullest extent permitted by law, without warranties beyond those expressly stated in these Terms.

12. Limitation of Liability

To the maximum extent permitted by law, Windfall LLC shall not be liable for indirect, incidental, special, or consequential damages, including lost profits or lost business opportunities. Our total liability for any claim arising from the Services shall not exceed the amounts you paid us in the 12 months preceding the claim.

13. Indemnification

You agree to indemnify Windfall LLC against claims arising from content you provide, your business operations, or your violation of these Terms.

14. Governing Law and Disputes

These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to conflict of law principles. The parties will attempt in good faith to resolve any dispute informally before pursuing other remedies. Any legal action shall be brought in the state or federal courts located in Massachusetts.

15. Changes to These Terms

We may update these Terms from time to time. Material changes will be posted on this page with an updated date. Continued use of the Site or Services after changes take effect constitutes acceptance. Active subscriptions are governed by the Terms in effect when the subscription began.
